4. Regulated activity, clarifications

4.1 Educational nature

Alchimie Capital LLC carries out an educational and teaching activity on the subject of crypto-assets, provided in the form of a subscription service (Odesio application). It does not provide any personalised investment advice (see the Educational Disclaimer).

4.2 No CASP authorisation

Alchimie Capital LLC is not, and does not intend to become, a Crypto-Asset Service Provider (CASP) within the meaning of Regulation (EU) 2023/1114 (MiCA). Its activity is positioned outside the scope of MiCA (see the 4-criteria test in the Educational Disclaimer).

4.3 No MiFID / CIF authorisation

Alchimie Capital LLC is not a Financial Investment Advisor (Conseiller en Investissement Financier, CIF) within the meaning of the French Monetary and Financial Code, nor an investment firm within the meaning of Directive 2014/65/EU (MiFID II), nor an Investment Advisor within the meaning of the Investment Advisers Act of 1940 (US).

5. Intellectual property

All content of the Odesio application (texts, images, infographics, source code, Odesio knowledge base, prompts, architecture, trademarks, logos) is the exclusive property of Alchimie Capital LLC or is used under licence.

Any reproduction, representation, modification, publication, adaptation, translation or distribution, in whole or in part, without prior written authorisation, is strictly prohibited and constitutes an infringement liable to the penalties provided for in particular by Articles L.335-2 et seq. of the French Intellectual Property Code, Articles XV.69 et seq. of the Belgian Code of Economic Law, and 17 U.S.C. § 501 et seq. (US Copyright Act).

6. Trademarks

Odesio, Alchimie Capital and any distinctive sign used in the Application are registered trademarks or trademarks pending registration of Alchimie Capital LLC (or its affiliates). Any unauthorised reproduction constitutes an infringement.

8. Hyperlinks

The website and the Application may contain hyperlinks to third-party websites. Alchimie Capital LLC has no control over these websites and accepts no liability for their content, availability or privacy policy.

Inbound links to the Odesio application are permitted provided that they do not harm the image of Alchimie Capital and do not make improper use of the protected trademarks.

9. Reporting unlawful content

In accordance with the applicable legislation on content hosting (Directive (EU) 2022/2065 "DSA", Digital Services Act, LCEN Art. 6 for France), any unlawful content identified may be reported to:

The report must include:

  • A precise description of the content concerned
  • The URL or exact location
  • The reason why the content is unlawful (reference to the legal provision infringed)
  • The contact details of the person making the report
  • A statement of good faith

Manifestly unfounded or abusive reports may give rise to legal proceedings.

10. Data protection authority, EU representative

In accordance with Article 27 of the GDPR, Alchimie Capital LLC, being established outside the European Union, is designating a representative in the European Union. The contact details of this representative will be published in the Privacy Policy as soon as they are available.

In the meantime, data subjects residing in the EU may exercise their rights and address any question relating to the processing of their personal data to contact@alchimiecapital.com.

11. Prohibited jurisdictions

The Services are not offered to residents of countries under international embargo (OFAC, EU, UN) or of jurisdictions where offering them would be unlawful. See the Educational Disclaimer §9.

12. Governing law and jurisdiction

13.1 Governing law

Relations between Alchimie Capital LLC and Users are governed by the law of the State of New Mexico, subject to the mandatory consumer protection provisions applicable in the EU consumer's State of residence.

13.2 Jurisdiction

Subject to the mandatory rights of EU consumers, disputes fall within the jurisdiction of the courts of the State of New Mexico. EU consumers retain the option of bringing proceedings before the courts of their State of residence in accordance with Regulation (EU) 1215/2012.

13. Accessibility

Alchimie Capital LLC undertakes to make its Services accessible to persons with disabilities in accordance with Directive (EU) 2019/882 on the accessibility requirements for products and services (European Accessibility Act, entry into application on 28 June 2025 for e-commerce services).
